DIAMOND BAR SENIORS GOLF CLUB
CONSTITUTION AND BY LAWS

Article I - The name of this organization shall be Diamond Bar Seniors Golf Club.

Article II - Objectives of the Club

Section 1

a. To promote the interests of golf.
b. To enforce uniformity in the rules of golf.
c. To use a uniform system of handicapping.
d. To operate for the benefit of the membership, not for profit.
e. To operate in a manner that shall not benefit any individual or private organization, except charitable, non-profit or not for profit associations approved by the board.
f. To conduct tournaments and other golf events sponsored by the Club.

g. To create comradery amongst the membership and afford all a pleasant golfing experience.

Article III - Dues and membership

Section 1

a. The annual dues must be paid by the member’s anniversary date.
b. The annual dues charged by the Club shall be in keeping with the County's goal of serving the greatest number of people at a reasonable cost and will be determined by the Board of Directors.
c. The number of members is limited to 250, as set by the Los Angeles County Department of Parks and Recreation.

Section 2 - Any amateur golfer over the age of fifty is eligible for membership.

Section 3 - No one shall be denied membership because of race, creed, color, gender, national origin, political affiliation, marital status or disability.

Section 4

a. Application for membership shall be submitted on a form approved by the L.A. Department of Parks and Recreation, and shall be accompanied by full payment in the amount set by the Board of Directors.
b. Applications will be considered in the order they are received.
c. The identity of each person on the membership committee shall be made available to all applicants.

Section 5 - Fiscal club year shall be from January 1st to December 31st.

Section 6 - New members will have an anniversary date based on the date was registered with SCGA.

NEW: The anniversary date for new or rejoining members will be the date they are registered with SCGA.

Section 7 - Only members conforming to the following rules of qualification shall be eligible for club sanctioned competition.

 

a. They must have a verifiable USGA index.
b. They must play 5 rounds with the Club as a member.
c. They must be a member of the Club for at least 90 days in order to be eligible to play in the Club Championship Tournament.

 

Section 8

a. Associate members MAY NOT, represent Diamond Bar Seniors Golf Club (DBSGC) in tournaments, play in DBSGC events, or participate in the hole-in-one pot.
b. Associate members can play in weekly tournaments only on a "fill in" basis, if a start time is available.
c. Associate members are non-voting members and are not eligible to be board members or committee members.

Article IV - Obligation and Discipline

Section 1 - The acceptance of membership in this club shall bind each member to abide by all the conditions, rules and regulations of the club, and to accept and enforce all decisions of the board of directors within its jurisdiction.

Section 2 - Refusing or not complying with the rules of the club or the decisions of the board of directors shall render a member liable to suspension or expulsion by a 2/3 vote of the board of directors. The member may appeal at a board or membership meeting or at a meeting called for that purpose.

Section 3 - No member shall be suspended or expelled without formal charges, in writing, having been made; and an opportunity given to be heard in his own defense.

Section 4 - Any officer or director may be removed from office for cause, provided said cause is submitted in writing at a board or membership meeting. The defendant shall be notified by regular mail or e-mail at least two weeks prior to action taken at a subsequent membership meeting. If the defendant fails to appear, a majority of at least a quorum present shall determine whether action to remove shall be taken or tabled until the next membership meeting. Then action must be taken if a quorum is present. A majority of those present shall determine whether or not the defendant shall be removed from office. Defendant shall be notified by regular mail or e-mail as to the disposition of his case. He shall be kept accurately informed so he may defend himself.

Article V - Government and Management

Section 1 - The control and management of affairs, funds and property of the club shall be vested in the board of director. Each Director shall cast one vote on matters brought before the board and any meeting of the board. The officer presiding at such meeting shall not vote except in the event of a tie, which he may, at his option, cast the deciding vote. No other person shall have a vote under any circumstance.

 

Section 2 - The president shall be the director of record for the purpose of representing the club in the SCGA. The club shall annually appoint, through the board of directors, one member as a delegate, who shall be entitled to attendance and discussion at all SCGA board meetings, and shall, in the absence of the director of record, cast a vote for the club as proxy.

 

Section 3 - A quorum at any meeting of the board of directors shall consist of more than half the board members.

 

Section 4 - A quorum at any membership meeting shall consist of 12 members in addition to board members.

 

Section 5 - The board of directors shall at all times act as the finance committee, and shall approve all bills against the club and authorize all checks drawn by the treasurer.

Section 6 -

a. The Board shall elect from its members a President, Vice-President, Secretary and Treasurer, who shall be the authorized elected officers, at the first meeting of the new Board, following elections. Voting for election of directors shall be by ballot or acclamation. On all other matters, the vote shall be by voice, standing or roll call at the discretion of the presiding officer.
b. Voting for election of officers by the board shall be by ballot or acclamation. On all other matters, the vote shall be by voice, standing or roll call at the discretion of the presiding officer.

Section 7 - No director, under any circumstance, shall receive any salary from the club.

Section 8 - Attendance and participation at board meetings shall be reserved to board members and committee chairpersons, unless otherwise directed by the board.

Section 9 - All checks shall be signed by the Treasurer or the President. All other instruments in writing, necessary for the regular conduct of club business, shall be signed by one of the authorized elected officers.

Article VI - Meetings

Section 1 - Membership meetings shall be held two or more times each year at the time and place designated by the Board of Directors. A meeting of the membership shall be held in October for, but not limited to, the election of Board members for the following year.

 

Section 2 - Board meetings shall be held each month at the time and place designated by the president. Special meetings may be called at any time by the president or the board of directors. The secretary shall give each director advance notice at last known address or e-mail address.

 

Section 3 - At or before the August board meeting, the board shall appoint a nominating committee of directors and/or club members, to assist in securing candidates for directors for the following year. At the September board meeting, the nominating committee and the board shall propose candidates for the annual election. Any nominations from the floor must be made at the October membership meeting.

 

Section 4 - Election of directors shall be held at the October membership meeting. The board shall take office January 1st.

 

Section 5 - The order of business at all board meetings shall be:

a. Exclusion or introduction of guests.
b. Approval or changes to the last meeting minutes.
c. Treasurer's report.
d. Committee reports.
e. Unfinished business.
f. New business
g. Adjournment.

Section 6 - The order of business at all membership meetings shall be:

a. Introduction of guests and new members.
b. Reading of the last meeting minutes.
c. President's report.
d. Secretary's report.
e. Treasurer's report.
f. Committee reports.
g. Unfinished business.
h. New business.
i. Adjournment.

Section 7 - Any vacancies among the elected officers shall be filled by appointment by the president, with approval, if a quorum is present, of two thirds of the board. The appointment shall be for the balance of the current year.

Article VII - Officers

Section 1 - The officers of the club shall be President, Vice-president, Secretary, and Treasurer. The past President shall be a board member, but not an officer.

Section 2

a. The president is to preside over all membership and board meetings and to see that all bylaws, rules and regulations adopted by the club are strictly enforced and to generally supervise all affairs of the club.
b. The president shall appoint all committee chairmen, with the approval of the board and shall be ex-officio member of all committees.
c. In the absence of the president, the vice president shall perform the duties of the president. In the absence of both, the secretary will call the meeting to order and a temporary chairman will be chosen.
d. Should any officer or board member not attend three meetings in succession, that position will be declared vacant, unless excused by the board.

Section 3 - The secretary shall keep a record of the proceedings of the board and of all meetings of the club. He shall conduct the official correspondence of the club, attend the duties and business of his office and those as directed by the president and board of directors.

 

Section 4 - The treasurer shall be custodian of the club's funds and shall deposit them or disburse them upon authorization of the board of directors. He may request authorizations to be on an approved form and signed by an officer. He shall report on finances at all board and membership meetings and present a final report at the last board meeting of the year. He shall perform such duties as properly belong to his office and as instructed by the board of directors. He shall, at year-end, present the "Book" for audit upon request of the board of directors.

 

Article VIII - Committees

Section 1 - All committee chairmen shall be responsible to the board of directors.

Section 2 - Tournament

a. To arrange a schedule and conduct the regular monthly tournament.
b. To establish rules and settle disputes for these competitions.

Section 3 - Rules

a. Be responsible in promoting knowledge and adherence to the rules of golf.
b. To advise and assist the tournament committee in planning, drafting local rules and answering questions that arise during competition.

 

Section 4 - Handicap - To administer the handicap system for the club and to coordinate with the SCGA in its' application.

 

Section 5 - SCGA Representative

a. To act as liaison between the club and the SCGA.
b. To keep the club informed as to rulings and activities of the SCGA.
c. To vote as club representative at the SCGA if the president is not available.

Section 6 - Membership

a. To keep a register of members at all times.
b. To assist in collecting annual dues and assessments.
c. To aid in promoting the club and informing the members of changes.

Section 7 - Auditing - To audit the books at year end at the request of the board of directors.

Section 8 - Special events - To organize, schedule and inform the members of special events.

Section 9 - Communications To maintain the official website http://www.dbseniorsgolf.com web site.

Section 10 - Other - To be established as needed by the president and board of directors.

Article IX - Amendments

Section 1 - Suggested changes or amendments to these articles must be submitted in writing to the board of directors, and must contain the signatures of at least 10 percent of the members who are not board members. Any suggested changes shall be published and mailed or e-mailed to all members or posted on the bulletin board.

Section 2 - These articles and by-laws may be repealed, amended or replaced by a 2/3 majority of those present at any membership meeting called for this purpose, provided a quorum is obtained.

Section 3 - On all questions of construction or interpretation of these articles and by-laws, the decision of the board of directors shall be final.
